1. Services

• We provide full service ecommerce services to ecommerce sellers.
• All services are delivered as per the scope outlined in the contract, proposal, or invoice .
• Any modifications or additional services beyond the agreed scope will be subject to additional charges.

2. Payment & Billing

• Clients must adhere to the payment terms mentioned in the invoice or contract .
• Payments are due as per the agreed schedule. Late payments may incur penalties .
• We reserve the right to pause or terminate services if payments are not received within the due timeframe.
• No refunds will be issued for work already completed.

3. Project Timelines & Revisions

• Estimated project timelines will be provided but may be affected by unforeseen delays.
• Revisions are limited to the number specified in the contract. Additional revisions will be charged separately .

4. Client Responsibilities

• Clients must provide all necessary materials, approvals, and responses in a timely manner .
• Delays in providing content or approvals may result in project delays .
• The Client is responsible for ensuring that the provided content does not infringe on any third-party rights.

5. Intellectual Property Rights

• All materials, designs, and content created by us remain our property until full payment is received .
• Upon full payment, the Client is granted usage rights as per the contract .
• We reserve the right to showcase completed projects in our portfolio unless agreed otherwise.

6. Confidentiality

• Both parties agree to keep confidential any sensitive business information shared during the project.
• We will not disclose, share, or sell any Client data without explicit consent .

7. Limitation of Liability

• We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
• Our total liability for any claim related to services will not exceed the amount paid for the service in question.

8. Termination of Services

• Either party may terminate the agreement with a written notice of 7-10 days .
• In the case of termination, the Client is responsible for all costs incurred up to the termination date .
• We reserve the right to terminate services immediately in case of non-payment, breach of contract, or unethical behavior.

9. Governing Law

• These Terms and Conditions are governed by the laws of India .
• Any disputes shall be subject to the exclusive jurisdiction of courts in Jaipur, Rajasthan .

10. Amendments

• We reserve the right to update or modify these Terms at any time. Clients will be notified of any significant changes.
